Actively engaged in the appraisal and consulting profession
since 1995, his experience includes the valuation of hundreds of
companies in an extensive range of industries, for purposes
including, but not limited to, ESOPs; estate/gift tax planning;
general corporate planning; restructurings; transfer pricing;
sales, mergers and acquisitions; recapitalizations; IPOs;
marital dissolutions; fairness opinions; limited partnerships;
divestitures; shareholder suits; Internal Revenue Service
litigation; buy-sell agreements; shareholder buyouts; value
enhancement consulting; FAS 141 (purchase price allocation); FAS
142 (goodwill impairment and other intangible assets); FAS 144
(impairment or disposal of long-lived assets); FAS 123R (equity
incentive award); lost profits/economic damages; intellectual
property rights; blockage; and management performance analysis.

EMPLOYMENT |
Before joining
Klaris, Thomson & Schroeder, Inc., Mr. Hayes was the founder and
president of Hayes Valuations, LLC, a full service solo business
valuation practice, which he owned and operated for 10 years.
Prior to the formation of Hayes Valuations, Mr. Hayes was a
senior valuation analyst with one of the oldest business
valuation firms (est. 1946) in the United States.

MILITARY |
Mr. Hayes
served 4 years in the United States Naval Reserves. During his
tour of duty, his training and expertise included wartime combat
readiness and Data Systems Technician “A” School; where he was
trained in the maintenance and troubleshooting of shipboard
weapons and computer systems at Mare Island Naval Shipyard in
Vallejo, CA. During this time, Mr. Hayes held a Top Secret
security clearance and is an active duty veteran of the Gulf
War.

EDUCATION |
Mr. Hayes
attended Jacksonville University where he received a B.S.
degree, with the completion of a double major in accounting and
finance with a minor in economics.
