Mr. John A. Thomson is a Vice President and the Managing
Director of the Long Beach, California office of Klaris, Thomson
& Schroeder, Inc.

AFFILIATIONS |
Mr.
Thomson is an accredited senior appraiser of the American
Society of Appraisers designated in business valuations and
intangible properties with the ASA designation (1982).
He holds the MAI designation of the Appraisal Institute
(1987). Mr. Thomson
holds a general real estate appraiser license in California
(AG001840). He is a
licensed marine engineer. He
is also a member of the American Arbitration Association Panel
of Arbitrators and was a member of the ESOP Association
Valuation Advisory Committee from 1986 to 1993.

EXPERIENCE |
Active in the appraisal profession since 1976, he was
engaged in a related profession for the 3 prior years and spent
the previous 7 years in the engineering field.
He has prepared appraisals of businesses and intangibles,
real estate, and machinery and equipment for the purpose of
sale/purchase, insurance, financing, ad valorem tax, ESOTs,
dissolutions, recapitalizations, allocation of purchase price,
bankruptcy proceedings, litigation support, solvency and
fairness opinions, and IRC Section 482 tax matters.

EMPLOYMENT |
Before joining Klaris, Thomson & Schroeder, Inc., Mr.
Thomson had been associated with another national
multi-discipline appraisal firm.
This latter association began in 1976 as a machinery and
equipment appraiser in the Philadelphia offices.
In 1978, Mr. Thomson transferred to the Los Angeles
office as a Financial Appraiser.
Mr. Thomson was Appraisal Manager from 1983 to 1985.
In 1985, he was promoted to Vice President Consulting,
and in 1988 he was promoted to Sr. Vice President and Chief
Appraiser- a position he held until co-founding Klaris, Thomson
& Schroeder, Inc. Prior
to 1976, Mr.
Thomson was employed several years in the engineering field.

TESTIMONY |
Mr. Thomson has testified as
an expert witness in the states of New York (1995), Washington
(circa 1981 & 1982), Oregon (circa 1981 & 1982),
Maryland (1998), Missouri (1991), Georgia (1987), Florida (1992
& 1993), California (various 1981-1998), Texas (1994, 1995
& 1997), the District Court of Nevada (circa 1984), as well
as the United States Tax Court (circa 1982, 1984, 1987, 1997
& 1998), Federal Bankruptcy Court (1993 & 1994), and
numerous tax appeal hearings.

EDUCATION |
Mr. Thomson attended the United States Merchant Marine
Academy in Kings Point, New York, and holds a B.S. in marine
engineering. He
received his M.B.A. from Widener University, Chester,
Pennsylvania. He
has attended numerous appraisal courses and seminars conducted
by the American Society of Appraisers, the American Management
Association, The Appraisal Institute, and others. He has
conducted numerous appraisal seminars and is a frequent speaker
on valuation issues.
